Terms of Service

The agreement between you and Richdale Ventures LLC for using our apps and sync relay. Written to be read, not just signed.

1 Acceptance of terms

These Terms of Service (the "Terms") are a binding agreement between you and Richdale Ventures LLC ("Walilock", "we", "us", or "our") governing your access to and use of the Walilock applications, browser extensions, and the Walilock sync relay (together, the "Service").

By downloading, installing, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service.

2 Description of service

Walilock is a zero-knowledge password manager. It stores your passwords, passkeys, and other secrets in an encrypted vault, and — if you enable sync — keeps that vault consistent across your devices through our sync relay.

The Service is available as native apps for macOS, Windows, and Linux, mobile apps for iOS and Android, and browser extensions for major browsers. Encryption and decryption happen locally on your devices. Because the Service is zero-knowledge by design, the sync relay only ever handles ciphertext — we cannot read the contents of your vault, and we do not hold your encryption keys or your master password. We continuously improve the Service and may add, change, or remove features over time. We will not intentionally degrade the core promise of the Service — that your vault stays encrypted and readable only by you.

3 Accounts & registration

You may use Walilock entirely offline on a single device without an account. To sync across devices or use paid features, you need a Walilock account. You agree to:

  • Register for and maintain one account per person, and provide accurate, current information (such as a valid email address) when you do.
  • Keep your account credentials confidential, and take responsibility for all activity that occurs under your account.
  • Notify us promptly at support@walilock.com if you suspect unauthorized access to your account.

You are solely responsible for safeguarding your master password and any recovery material (such as an emergency kit) you set up.

Please read this carefully

Walilock is zero-knowledge. Your master password never leaves your device and we never receive it, store it, or hold your encryption keys. This is what keeps your vault private — even from us. It also means that we cannot recover or reset your master password for you. If you forget your master password and have not set up a recovery method, you may permanently lose access to the data in your vault, and there is nothing we can do to restore it. Choose a master password you can remember, and set up recovery options when you enable sync.

4 Plans, trials & billing

Free tier

Walilock offers a free tier for individuals that remains free for as long as you use it, subject to the feature limits described on our Pricing page. No payment method is required to use the free tier.

Paid plans

Paid plans (including Family, Business, and Enterprise) unlock additional features and are billed through our payment processor, Stripe. Current prices and what each plan includes are listed on the Pricing page. Prices are exclusive of taxes unless stated otherwise; applicable taxes may be added at checkout.

Free trials

Where offered, paid plans include a free trial: 14 days for Family and 30 days for Business. Trials give you full access to that plan's features during the trial window. Starting a trial requires a valid payment method (a "card on file"). We will not charge you during the trial. If you do not cancel before the trial ends, the trial automatically converts to a paid subscription and your card is charged the then-current price for the plan you selected.

Auto-renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or annually, as chosen) at the then-current price, using your payment method on file, until you cancel. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis.

Cancellation & refunds

You can cancel at any time from your account settings or by contacting support@walilock.com. When you cancel:

  • Cancelling during a free trial stops the trial from converting, and you are not charged.
  • Cancelling a paid subscription stops future renewals. Your plan stays active until the end of the current paid period, after which your account moves to the free tier.

If you were charged for a renewal you did not intend, contact us within 14 days of that charge and we will work with you in good faith on a refund. Except where required by law, fees already paid are otherwise non-refundable. We handle refund requests reasonably and case by case.

5 Acceptable use

You agree to use the Service lawfully and not to misuse it. In particular, you agree that you will not:

  • Use the Service for any illegal activity, or to store, transmit, or facilitate anything unlawful.
  • Attempt to disrupt, overload, or interfere with the sync relay or other users' access — for example through denial-of-service attacks, automated scraping, or circumventing rate limits.
  • Reverse-engineer, decompile, or probe the Service in order to harm it, its users, or its security, or to build a competing product from our proprietary code. (This does not restrict rights you have under applicable law, or your inspection of any components we publish as open source under their own licenses.)
  • Resell, sublicense, or commercially redistribute access to the Service without our written permission.
  • Use the Service to infringe others' intellectual property or privacy rights, or to store credentials you are not authorized to hold.

Good-faith security research is welcome. If you find a vulnerability, please report it responsibly to security@walilock.com rather than exploiting it.

6 Intellectual property

The Service, including its software, design, branding, the "Walilock" name and logo, and all related intellectual property, is owned by Richdale Ventures LLC or its licensors and is protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for its intended purpose.

Your data is yours. We claim no ownership over the contents of your vault. Because your vault is encrypted end-to-end, we could not access those contents even if we wanted to. You grant us only the limited technical permission necessary to store and transmit your encrypted data so that sync can function.

Any components we release under an open-source license are governed by that license, which prevails over this section to the extent of any conflict.

7 Third-party services

We rely on a small number of carefully chosen third parties to operate the Service. Most notably, payments and subscription billing are handled by Stripe. When you enter payment details, they are collected and processed by Stripe under Stripe's own terms and privacy policy — we do not receive or store your full card number.

Your use of such third-party services is subject to their respective terms. We are not responsible for the acts, omissions, or content of third parties, though we choose our providers with your security and privacy in mind.

8 Disclaimers

We work hard to make Walilock reliable and secure, but the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements. You are responsible for maintaining your own backups and recovery methods. As described in Section 3, the zero-knowledge design means we cannot recover your vault if you lose your master password and recovery material.

9 Limitation of liability

To the maximum extent permitted by law, Richdale Ventures LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of (or inability to use) the Service — including any loss of vault data resulting from a forgotten master password.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

10 Termination

By you. You may stop using the Service and delete your account at any time from your account settings or by contacting support@walilock.com. Cancelling a paid plan is covered in Section 4.

By us. We may suspend or terminate your access if you materially breach these Terms — for example by violating the acceptable-use rules in Section 5 — or where we are required to do so by law. Where practical and lawful, we will give you notice and an opportunity to fix the problem first.

On termination, your right to use the Service ends. Because your vault is encrypted on your own devices, you keep any local copy you already hold; deleting your account removes your synced encrypted data from our relay. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will continue to apply.

11 Changes to these terms

We may update these Terms from time to time — for example to reflect new features, legal requirements, or changes in how the Service works. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or an in-app notice before the changes take effect.

Your continued use of the Service after the updated Terms take effect means you accept them. If you do not agree to a change, you should stop using the Service and may cancel your subscription.

12 Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence provide otherwise. You and Walilock agree that the state and federal courts located in Delaware will have jurisdiction over any dispute arising out of these Terms, subject to any non-waivable right you have to bring proceedings in your local courts.

We would always rather resolve a concern directly. Before filing any formal claim, please reach out to us so we can try to work it out.
